MFDF's annual Directors' Institute is an immersive, directors-only program that puts participants in the boardroom of a fictional fund complex. Over two and a half days, fund independent directors work together to identify, evaluate, and resolve issues involving three fictional focus funds.   

What to Expect 

Before the program, you’ll receive a complete board book with the case narratives as well as Broadridge reports and other data that bring the fictional funds to life. 

On site, you’ll hear presentations from industry leaders, who will be roleplaying the management of the fictional adviser. You’ll then meet in breakouts to discern, prioritize, and strategize how to address the issues that have been presented. 

The Case 

Each year’s case is designed to capture a wide range of issues, combining core director oversight issues with emerging topics within the industry. Past cases have asked directors to evaluate an adviser’s proposal to convert a fund to an ETF, work through questions about distribution strategy, and assess advisory fees that looked high against peers. 

Program faculty from Keil Fiduciary Strategies, Broadridge, PwC, and other industry partners review each case — which contain realistic details like profitability numbers and peer group analyses — so it reflects what boards actually face.  

The Breakouts 

MFDF staff assign participants to small groups before the program. Our team carefully considers a number of factors, including fund size, director experience level, and whether participants have attended before. The goal is to put you in a room with directors who bring a diverse array of approaches to common board responsibilities and issues.
