MFDF Publishes White Paper on Board Oversight of Alternative Investments

On January 12, MFDF published a white paper titled “Practical Guidance for Fund Directors on Oversight of Alternative Investments.” The paper outlines specific types of product structures, the responsibilities associated with overseeing these products, including potential challenges, and questions that fund independent directors may wish to consider when overseeing an alternative product. The paper notes that while the oversight role of the fund director does not change, alternative assets and certain product types may involve new questions and deeper analysis. Areas such as valuation, liquidity, fund performance, and operational and portfolio management considerations (among others) may require deeper Board discussion. The paper also offers suggested questions that may aid in discussions with the Adviser. The paper was designed to be a starting point for fund directors to develop a deeper understanding of the alternative fund ecosystem.

MFDF plans to hold an in-person panel at the Fund Governance and Regulatory Insights conference held in Washington, DC on March 5-6 that will cover select topics from the white paper. In addition, MFDF is planning a series of webinars to take a deeper dive into the topics discussed in the white paper. MFDF would like to thank Simpson Thacher & Bartlett for sharing their expertise and contributing to this White Paper.
